Subject to the terms and conditions of this Agreement, the Owner grants the Licensee a non-exclusive, non-transferable, limited license to use the Website solely for personal or internal business purposes. This license does not permit the Licensee to distribute, modify, or create derivative works of the Website.
The Licensee shall not:
- Reproduce, distribute, or publicly display the Website without prior written consent from the Owner.
- Modify, adapt, or create derivative works based on the Website.
- Sell, sublicense, or otherwise transfer any rights in the Website to any third party.
- Remove or alter any proprietary notices or labels on the Website.
The Website, including all intellectual property rights therein, is and shall remain the exclusive property of the Owner. This Agreement does not convey to the Licensee any rights of ownership in or related to the Website.
This Agreement is effective until terminated. The Owner may terminate this Agreement immediately upon written notice to the Licensee if the Licensee breaches any term of this Agreement. Upon termination, the Licensee shall cease all use of the Website and destroy all copies, full or partial, of the Website.
The Website is provided "as is" without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The Owner does not warrant that the Website will meet the Licensee's requirements or that the operation of the Website will be uninterrupted or error-free.
In no event shall the Owner be liable for any special, incidental, indirect, or consequential damages whatsoever arising out of the use of or inability to use the Website, even if the Owner has been advised of the possibility of such damages.
This Agreement shall be governed by and construed in accordance with the laws of Sri Lanka, without regard to its conflict of law principles.
This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, concerning such subject matter.
