Reworks /publisher-agreement into a complete, fee-ready Initial Release Agreement — free today, but structured so a license/listing fee can be switched on later with no further edits to this document (the amount lives in the 30-day notice + checkout, never in the doc).

Highlights

  • Brand/entity fix: Vulture Labs, Inc. (Delaware corp) is the entity; Pilot Protocol is the network/app store.
  • §13 — Initial Release; Amendment; Fees, Billing & Renewal:
    • Binding initial release agreement; advertising / promoted placement / revenue-share are handled by a separate negotiated agreement (which may be confidential).
    • Reserve the right to charge a license/listing fee with ≥30 days' prior notice (notice states the amount; opt out by removing your App before the effective date; continued listing = acceptance).
    • Billing via third-party processor (Stripe) with recurring-charge consent, tax hand-off, non-payment → delist, cancel-anytime.
    • Pro-rata refund if we delist an App without the publisher's fault — resolves the "delist anytime + paid fee" fairness gap.
  • §16 — Confidentiality reconciled with reality: this public doc's terms are not confidential; confidentiality attaches to review info + any future supplemental commercial agreement; mutual carve-out so either party may discuss the App's performance.
  • §17: entire-agreement clause acknowledges the §13 supplemental agreement.
  • Self-contained liability cap (greater of trailing-12-mo fees or US$100 — scales automatically once fees are live), §1542 waiver, Delaware courts + jury/class waivers, architecture-accurate revocation.
  • Header marked Initial Release Agreement · v2026-07-06 · Effective July 6, 2026. Legal notice address filled: 280 Edgehill Way, San Francisco, CA 94127.

Builds clean (npm run build, 326 pages).

Operational note (no doc change needed)

To start charging: send the 30-day notice with the amount + a Stripe link; publishers who keep listing past the effective date have accepted. For recurring fees, let the Stripe Checkout click carry the auto-renewal consent.

Not legal advice

Have counsel confirm §8 (cap), §10–11 (privacy/export), §13 (fees/refund/consumer-protection), and §14 (jurisdiction + waivers), especially for the non-U.S. publisher base.

Ports the reviewed rewrite onto the live page. Key changes:

- Fix the brand conflation: entity is now "Vulture Labs, Inc., a
Delaware corporation"; "Pilot Protocol" is defined as the
network/store, not the company (the old preamble equated the two).
- Add liability cap (greater of 12-mo fees or US$100) + full damages
waiver, self-contained rather than relying only on the ToS.
- Add California Civil Code §1542 unknown-claims waiver.
- Dispute resolution: Delaware courts + jury-trial waiver + class-action
waiver (no arbitration, deliberate for a free/pseudonymous base).
- Phrase the revocation/kill-switch to match the catalogue-signing
  architecture (no overclaimed remote wipe).
- Expand reps & warranties: malware, capability grants, MIT/AGPL-3.0
license compliance, data-protection, export/sanctions, financial law.
- Add export-control, confidentiality, publisher-support, and
  fees/monetization-reservation sections.

Remaining placeholders for founder sign-off: [Effective Date] and
[legal notice address].

@TeoSlayer requesting your review on this one — publisher agreement rewrite (brand/entity fix + liability cap + §1542 + dispute waivers). Two placeholders ([Effective Date], [legal notice address]) still need founder sign-off before merge.

Makes the agreement a complete, fee-ready document with no further
edits needed to start charging:

- §13: initial-release framing + supplemental-agreement path for
advertising/promoted/revenue-share; reserve right to charge a
license/listing fee with 30 days' prior notice (amount stated in the
notice, not the doc); billing via third-party processor with recurring
  consent; tax hand-off; non-payment = delist; cancel-anytime; and a
pro-rata refund if we delist without the publisher's fault.
- §16: reconcile confidentiality with reality — this public doc's terms
are NOT confidential; confidentiality attaches to review info and any
future supplemental commercial agreement; mutual carve-out to discuss
  the App's performance.
- §17: entire-agreement clause acknowledges the §13 supplemental agreement.
- Header marked 'Initial Release Agreement', version 2026-07-06.
