Woz Code License Agreement

This Woz App Code License Agreement (“Agreement”) is a legal contract between you (“You” or “Licensee”) and With Woz, Inc. (“Woz” or “Company”) governing your use of the source code generated and provided by Woz (the “Woz Code”). By downloading, accessing, or using the Woz Code, you agree to be bound by this Agreement.

1. Permitted Use

• You may use, modify, and deploy the Woz Code as part of your own applications and products.

• You may distribute compiled applications built with the Woz Code (for example, by publishing to the Apple App Store, Google Play Store, or web).

• You may customize the Woz Code to support your own business needs.

2. Restrictions

• You may not resell, redistribute, sublicense, or otherwise provide the Woz Code as a standalone product, template, or developer tool.

• You may not remove or alter any notices of copyright, ownership, or attribution contained in the Woz Code.

• You may not claim ownership of Woz’s underlying technology, platform, or generation methods.

• You may not use the Woz Code to create, develop, or offer any service that competes with Woz's code generation platform

3. Ownership

• With Woz, Inc. retains ownership of the underlying Woz platform technology and generation methods. You receive a perpetual license to the specific Woz Code instance you download, subject to this Agreement.

• This license grants you a non-exclusive, perpetual, non-transferable license to use the Woz Code as permitted under Section 1. You own the applications you create using the Woz Code.

4. No Warranty

The Woz Code is provided “as is” without warranties of any kind. To the maximum extent permitted by applicable law With Woz, Inc. disclaims all liability for damages arising from use of the Woz Code.

Woz has no obligation to provide support, maintenance, updates, or modifications to the Woz Code.

5. Termination

This Agreement will automatically terminate if Licensee breaches any of its terms. Upon termination, Licensee must cease use of the Woz Code and destroy all copies in its possession or control.

6. Limitation of Liability

In no event shall Woz's total liability exceed the amount paid by you for the Woz Code. Woz shall not be liable for any indirect, incidental, consequential, or special damages, including lost profits or data loss.

7. Indemnification

You agree to indemnify and hold harmless Woz from any claims, damages, or expenses arising from your use of the Woz Code or your applications built with it.

8. General

• Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.
• Entire Agreement. This Agreement constitutes the entire agreement between the parties regarding the Woz Code and supersedes all prior or contemporaneous agreements, communications, or understandings.
• Severability. If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force and effect.

BY CLICKING DOWNLOAD OR USING THE WOZ CODE, LICENSEE ACKNOWLEDGES THAT THEY HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THIS AGREEMENT.
