Mimora - Individual Contributor License Agreement (CLA)

Thank you for your interest in contributing to Mimora, maintained by Valeriy Kovalev (the "Project Owner"). As used in this Agreement, the "Project" means Mimora, including its source code repositories, documentation, and related materials maintained by the Project Owner.

This Contributor License Agreement ("Agreement") clarifies the intellectual property rights granted with Contributions from any person or entity. By signing this Agreement - whether electronically, through a CLA bot, by commenting on a pull request with the phrase indicated by the Project, or by any other method accepted by the Project - You accept and agree to the following terms for Your present and future Contributions submitted to the Project.

1. Definitions

"You" (or "Your") means the individual or legal entity that owns the copyright in the Contribution and signs this Agreement.

"Project Owner" means Valeriy Kovalev, together with his successors and assigns, and any individual, company, or organization (including a GitHub organization) that acquires, is assigned, or otherwise succeeds to ownership or control of the Project. All rights granted to the Project Owner under this Agreement pass automatically to such successors and assigns.

"Contribution" means any original work of authorship, including any modifications or additions to an existing work, that You intentionally submit to the Project for inclusion in, or documentation of, any of the products owned or managed by the Project. "Submitted" means any form of electronic, verbal, or written communication sent to the Project, including but not limited to pull requests, commits, patches, issues, and comments. However, communications that are clearly marked in writing as "Not a Contribution" or equivalent shall not be considered Contributions under this Agreement.

2. Grant of Copyright License

Subject to the terms of this Agreement, You hereby grant to the Project Owner, its successors and assigns, and to recipients of software distributed by the Project a perpetual, worldwide, non-exclusive, royalty-free, irrevocable copyright license to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute Your Contributions and such derivative works.

You expressly agree that the Project Owner may license the Contribution, and any work that incorporates it, under any license terms determined by the Project Owner, including open-source licenses (such as the MIT License), commercial licenses, and proprietary licenses (so-called "dual licensing"), without any obligation to account or pay royalties to You.

For the avoidance of doubt, the Project Owner may use, reproduce, modify, distribute, sublicense, and relicense Your Contributions either as part of the Project or independently of the Project, in whole or in part, and in combination with other works, under any of the license terms described above.

The Project Owner may at any time change the licensing model of the Project, including relicensing the Project under different open-source, source-available, commercial, or proprietary terms. This applies to the Project as a whole and to Your Contributions as part of it.

3. Grant of Patent License

Subject to the terms of this Agreement, You hereby grant to the Project Owner, its successors and assigns, and to recipients of software distributed by the Project a perpetual, worldwide, non-exclusive, royalty-free, irrevocable (except as stated in this section) patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer Your Contribution, where such license applies only to those patent claims licensable by You that are necessarily infringed by Your Contribution alone or by combination of Your Contribution with the Project.

If any entity institutes patent litigation against any entity (including a cross-claim or counterclaim in a lawsuit) alleging that Your Contribution, or the Project to which it was contributed, constitutes direct or contributory patent infringement, then any patent licenses granted to that entity under this Agreement for that Contribution shall terminate as of the date such litigation is filed.

4. You Retain Your Rights

This Agreement is non-exclusive. You retain all right, title, and interest in and to Your Contributions and may use them for any purpose. You are free to license Your own Contributions to other parties under any terms You wish.

5. Your Representations

You represent that:

  1. You are legally entitled to grant the above licenses.
  2. Each of Your Contributions is Your original creation.
  3. If Your employer has rights to intellectual property You create, You have received permission to make the Contributions on behalf of that employer, or Your employer has waived such rights for Your Contributions to the Project.
  4. Your Contribution does not, to the best of Your knowledge, violate any third party's copyrights, patents, trademarks, or other intellectual property rights.

6. Third-Party Materials

Should You wish to submit work that is not Your original creation, You may submit it to the Project separately from any Contribution, identifying the complete details of its source and of any license or other restriction (including, but not limited to, related patents, trademarks, and license agreements) of which You are personally aware, and conspicuously marking the work as "Submitted on behalf of a third-party: [named here]".

7. No Obligation

You acknowledge that the Project Owner is under no obligation to use or incorporate Your Contributions into the Project. The decision to use or incorporate Your Contributions will be made at the sole discretion of the Project Owner.

8. No Warranty

Unless required by applicable law or agreed to in writing, You provide Your Contributions on an "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, either express or implied, including, without limitation, any warranties or conditions of TITLE, NON-INFRINGEMENT, MERCHANTABILITY, or FITNESS FOR A PARTICULAR PURPOSE.

9. Assignment

The Project Owner may assign or transfer this Agreement, and all rights and licenses granted hereunder, in whole or in part, to any successor in interest to the Project, including in connection with a merger, acquisition, sale of assets, or transfer of the Project to another individual or organization. This Agreement is binding upon and inures to the benefit of the parties and their respective successors and assigns. Your rights and obligations under this Agreement may not be assigned by You without the prior written consent of the Project Owner.


By signing, You agree that the above terms apply to all of Your past and future Contributions to the Project.
